Terms and Conditions in force from December 1st 2024.

1. Subject

"VIIA LTD (referred to as “VIIA” hereinafter) has innovated a ridesharing platform available as a mobile application, facilitating contact between drivers heading towards a destination and passengers who want to share the same route. This platform aims to streamline trips and distribute associated costs effectively without exceeding running costs.

These terms and conditions are designed to regulate access and usage of the Platform (VIIA). Please review them attentively and understand that VIIA is not a party to any agreement, contract, or contractual relations of any nature, entered between the Members of the Platform. All journeys are taken at the discretion of users.

By creating an account on VIIA, you affirm that you have read and agreed to these general terms of use."

2. Definitions

In this document,

Account” means the account that must be created in order to become a Member and access certain services offered by the Platform;

Advert” means an advertisement about a Trip posted on the Platform by a Driver;

VIIA” has the meaning given to it in Article 1 above;

Booking” has the meaning given to it in Article 4.2 below;

Booking Confirmation” has the meaning given to it in Article 4.2.1 below;

Carpooling Listing” means an advertisement concerning a Ride posted on the Platform by a Driver;

Carpooling Trip” means the journey subject of an Advert published by a Driver on the Platform, and for which he agrees to transport Passengers in exchange for the Cost Contribution;

Cost Contribution” means, for a given Trip, the sum of money requested by the Driver and accepted by the Passenger for his contribution to the travel costs;

Customer” means any physical person (Member or not) buying, either for oneself, or on someone else behalf who’s going to be the Passenger.

Driver” means the Member using the Platform, to offer to transport another individual in exchange for the Cost Contribution, for a Trip and at a time defined by the Driver alone;

“Key User” referring to the user who originally booked a trip

Member” means any individual having created an Account on the Platform;

Passenger” means the Member having accepted the offer to be transported by the Driver or, where applicable, the person on whose behalf a Member has booked a Seat;

Platform” Referring to VIIA

Price” refers, to the price including all the taxes, fees and costs of relevant services included, paid by the Customer on the Platform, at the moment of the validation of the Order, for a Seat on a given Carpool

Point of Sale” refers to the physical counters and terminals listed on the App and at which the Tickets are offered for sale;

Seat” means the seat booked by a Passenger in the Driver’s vehicle

Services” means all services delivered by VIIA via the Platform;

Service Fee” has the meaning given to it in Article 5.2 below;

Trip” indistinctively refers to a Carpooling Trip;

T&Cs” means these Terms and Conditions;

Website” means the website accessible at the address www.viiatravel.com

3. Registration on the Platform and creation of an Account

3.1. Conditions of registration on the Platform

The Platform is intended for individuals aged 18 and older. Registration by minors is strictly prohibited. By accessing, using, or registering on the Platform, you confirm and warrant that you are 18 years of age or older.

3.2. Creation of an Account

The Platform empowers Members to create Carpooling Listings, access Adverts, and engage with each other to reserve Seats.

The sign-up process allows a fast track to enable users to view adverts sooner. You cannot view the Adverts if you do not complete the flow and therefore register on the Platform. You cannot post a Carpooling Listing or book a Seat without having first finished your entire account creation and verified your identity.

To create your Account, you can:

  • (i) either complete all mandatory fields in the sign up flow;

  • (ii) or complete mandatory fields and skip the optional sections, to be returned to later.

To register on the Platform, you must have read and accepted these T&Cs and the Privacy Policy.

When creating your Account, regardless of the method chosen, you agree to provide accurate and true information, and to update it through your profile or by notifying VIIA, in order to guarantee its relevance and accuracy throughout your contractual relations with VIIA.

You agree not to create or use, under your own identity or that of a third party, Accounts other than that initially created.

3.3. Verification

VIIA has a mandatory verification system in place for the purposes of transparency, safety, trust and the prevention of fraud. This involves providing VIIA with a valid Identity document (drivers licence if you intend to drive) prior to being able to post or take a journey.

You recognise and accept that any reference on the Platform or the Services to “verified” information, or any similar term, means only that a member has successfully passed the verification procedure existing on the Platform or the Services in order to provide you with more information about the Member with whom you are considering travelling. VIIA cannot guarantee the truthfulness, reliability or validity of the information subject of the verification procedure.

4. Use of the Services

4.1. Posting Adverts

As a member, subject to meeting the conditions outlined below, you can write and publish Carpooling Listings on the Platform. This involves inputting details about the intended trip, including dates, times, collection points, arrival destinations, number of available seats, offered options, and the cost contribution, among other relevant information.

You are only authorised to post a Carpooling Listing if you fulfil all the following conditions:

I. You hold a valid driving licence;

II. You only offer Carpooling Listings for vehicles you own or use with the express permission of the owner, and in all cases that you are authorised to use for the purposes of ridesharing;

III. You are and remain the main driver of the vehicle subject of the Carpooling Listing;

IV. The vehicle has valid third party insurance;

V. You have no contraindication or medical incapacity for driving;

VI. The vehicle you intend to use for the Trip is a touring car with 4 wheels and a maximum of 7 seats, to the exclusion of cars requiring no licence to drive;

VII. You do not intend posting another advert for the same Carpooling Trip on the Platform;

VIII. You do not offer more Seats than the number available in your vehicle;

IX. All Seats offered have a seatbelt, even if the vehicle is approved with seats having no seatbelt;

X. To use a vehicle in good working order and which complies with the applicable legal provisions and customs, notably with an up-to-date MoT certificate;

XI. You are a consumer and do not act as a professional.

You acknowledge that you bear sole responsibility for the content of any Carpooling Listing you publish on the Platform. Consequently, you affirm and guarantee the accuracy and veracity of all information within your Carpooling Listing, committing to honor the trip as described therein.

Your Carpooling Listing will be posted on the Platform and therefore visible to all individuals who have an account, conducting a search on the Mobile Application. VIIA reserves the right, at its sole discretion and without notice, to not post or to remove, at any time, any Carpooling Listing that does not comply with the T&Cs or that it considers as damaging to its image, that of the Platform, or that of the Services.

You are informed that in the event that you present yourself as a consumer by using the Platform when in fact you act as a professional, you are exposed to sanctions provided by the applicable law.

4.2. Booking a Seat when carpooling

VIIA has set up a system for booking Seats (“Booking”) for Trips offered on the Platform.

VIIA offers users on the Platform a sophisticated search engine allowing you to choose from the criteria: origin, destination, and date. Our algorithm will display journeys that match, and users can choose from the catalogue of drivers that are displayed, based on factors like price, timing, reviews and additional social preferences such as chattiness, smoking, and music preferences. VIIA encourages users to make their choices based on drivers who they believe will provide a comfortable, safe, and fulfilling carpooling experience.

Additionally, users have the option to submit journey requests, which drivers can view and choose to fulfil at their discretion. However, this approach removes the flexibility of hand-picking a preferred driver, and Users should be aware that drivers on the Platform hold the authority to accept the journey based on their preferences.

4.2.1 Carpooling Trip

When a Passenger is interested in a Carpooling Listing benefiting from Booking, they may make a Booking request. This Booking request must then be accepted manually by the Driver. At the time of the Booking, the Passenger makes the online payment of the Cost Contribution and the related Service Fees. After receipt of the payment by VIIA and, where applicable, the Passenger receives a Booking confirmation (the “Booking Confirmation”).

If you are a Driver and have chosen to handle manually the Bookings requests when posting your Advert, you are required to respond to any Booking request within 24 hours. Otherwise, the Booking request will expire automatically, and the Passenger shall be refunded all sums paid at the time of the Booking request, if any.

At the time of the Booking Confirmation, VIIA will add you to a group chat in the Inbox tab on the app and allow you to talk to the driver and other passengers (should there be any). Once the journey commences, you will also have access to the telephone number of the Driver (if you are the Passenger) or of the Passenger (if you are the Driver) in order to contact them with any concerns about pick up. You are then solely responsible for executing the contract binding you to the other Member(s).

4.2.2 Named nature of the Seat booking and terms of use of the Services on behalf of a third party

It is prohibited to publish a Carpooling Listing for a Driver of a vehicle other than yourself.

VIIA allows its passenger members at the point of requesting a journey a journey to invite other users to the app to join them on a trip (should they want to), but every user above the age of 18 must create an account to identify themselves for the safety of the app’s users.

Individuals under 18 may travel with VIIA but they may not create an account. They must be always accompanied by another user who bares all responsibility for the third parties they are supervising. Drivers can reject drives if turns out that the third parties are not, and drivers are have full liberty to ask for identification should they believe the added individual(s) to be over the age of 18. If this request is rejected or their ID indeed shows them to be over the age of 18 then the driver may report the key user’s profile and reject service of they so please. This will reflect badly on the ‘key user’ alone and an investigation will be carried out by our team to assess the situation which may result in the key user’s profile to be suspended and their contribution to the journey being forfeited to the driver without refund.

In addition, the Platform is intended for the booking of Seats for individuals. It is forbidden to book a Seat for transporting any object, package, animal traveling alone or material items whatsoever.

4.3. Review system

4.3.1. Operation

VIIA strongly encourages you to leave a review regarding your experience with a driver (if you are a passenger) or with a passenger (if you are a driver) with whom you have either shared a trip or were scheduled to share one. You are also encouraged to leave a review about other Passenger(s) as a passenger. You are not however able to leave reviews about a Member with whom you have not travelled or with whom you were not organised and agreed to travel with.

At least a star rating review is mandatory after a journey’s end. Users may also leave a written review too.

You have the option of appealing a review directly to our team. If you have any evidence to provide of your case, it will be assessed a resulting judgement will be given potentially resulting in the removal of the review or even a flag or removal of a user should there be overwhelming evidence to prove a false negative report has been given.

4.3.2. Moderation

You recognise and accept that VIIA reserves the right not to publish or to delete any review, any question, any comment or any response if it deems its content breaches these T&Cs.

4.3.3. Limit

VIIA retains the right to suspend your account, restrict your access to the services, or terminate these Terms and Conditions in instances where: (i) you have accrued a minimum of three reviews, and (ii) the average review score you've received is three or lower.

You also accept that any one-star reviews can result in an instant account termination should VIIA deem it warranted.

5. Financial conditions

Accessing and registering on the Platform, as well as browsing, viewing, and posting advertisements, incur no fees. However, bookings are subject to charges as outlined in the following conditions.

5.1. Cost Contribution and Price

5.1.1 In the event of Carpooling trip, the Cost Contribution is determined by you, as Driver, under your sole responsibility. It is strictly prohibited to profit in any way from using our Platform: the amount you receive as compensation as a driver should not exceed the costs you actually incur to make the Carpooling Trip. Failure to do so will result in you alone baring the consequences should there be any legal insurance or taxation repercussions as a result.

When posting a Carpooling Listing, VIIA provides a suggested Cost Contribution amount, which considers factors such as the trip distance, car fuel type, and the national average fuel cost. Our recommendation is based on typical high and low-efficiency car models nationally. This suggested amount serves purely as guidance; you retain the discretion to adjust it according to your actual expenses incurred during the Carpooling Trip. To prevent misuse, VIIA imposes limitations on the extent of Cost Contribution adjustments, though you as the user ultimately determine the accurate pricing for their listings.

VIIA reserves the right to modify the values of the aforementioned factors that affect trip cost at any time.

5.2. Service Fees

VIIA, in exchange for use of the Platform, at the time of Booking shall collect service fees (hereinafter referred to as the “Service Fees”). The user will be informed before any application of the Service fees, when required. Service fees are a flat 25% for all passengers and a fixed £1.50 processing fee charged to the driver.

VIIA reserves the right to modify these prices any time.

5.3. Rounding

You acknowledge and agree that VIIA reserves the right, at its complete discretion, to round Service Fees and the Cost Contribution to the nearest whole integer or decimal point.

5.4. Methods of payment and repayment of the Cost Contribution to the Driver.

5.4.1. Payment of the Cost Contribution to the Driver

Passengers are charged at the time of booking, ensuring a seamless and hassle-free process. After the trip, passengers have a 24-hour window to provide feedback or raise any concerns about the journey with VIIA. If no claims are submitted within this period, the trip will be considered successfully completed, and payment will be transferred to the driver's provided bank details.

Drivers are reminded to carefully verify their banking information, as VIIA cannot take responsibility for any errors in submitted details. Unfortunately, reimbursement cannot be provided in such cases.

The amount transferred to the driver will be the listed cost that the driver agreed beforehand, minus VIIA’s Stripe service fee of £1.50.

5.4.3 Payment of the Price

Payment for any order placed via the Platform can be completed using stripe integration. Users acknowledge that they have read and accepted Stripe’s terms and conditions.

An Order confirmation will only be provided upon the complete and successful payment of the price for the Transport Services selected by the Customer. In the event of irregular, incomplete, or failed payment due to reasons attributable to the Customer, the Order will be promptly cancelled.

The confirmation of the Order is sent via email to the Customer, providing comprehensive details of the Order. The Passenger is encouraged to review their email inbox settings, ensuring that the confirmation email is not inadvertently directed to the Spam folder.

The Order confirmation is definitive. Therefore, any modifications will necessitate either an exchange or cancellation. It is the Customer's responsibility to select Transport Services that align with the Passenger's requirements and expectations. The accuracy of personal information provided by the Customer rests with the Customer, except in cases where VIIA is proven to have failed in collecting, storing, or protecting said Personal Information.

You acknowledge that VIIA bears no liability for any private negotiations conducted directly between users outside of the platform, even if the initial connection was established through the app.

6. Non-commercial and non-business purpose of the Services and the Platform

You agree to utilize the Services and the Platform solely for the purpose of connecting with individuals interested in sharing a Carpooling Trip with you, excluding any business or commercial activities.

As a Driver, you agree not to request a Cost Contribution exceeding your actual incurred expenses, ensuring that it does not result in profit. It is understood that as a participant in cost-sharing, you are responsible for covering your portion of Trip expenses. You are solely accountable for accurately calculating these expenses and verifying that the amount requested from Passengers does not surpass your actual costs (excluding your share), including reference to relevant tax regulations.

VIIA retains the right to suspend your Account if you utilize a chauffeur-driven vehicle, business taxi, or company car, resulting in profit through the Platform. Upon request, you agree to provide VIIA with a copy of your vehicle registration certificate and/or any relevant documentation demonstrating your authorization to use said vehicle on the Platform without deriving profit from it.

VIIA further reserves the right to suspend your Account, restrict access to the Services, or terminate these Terms and Conditions if your activity on the Platform suggests, based on the nature, frequency, passenger count, and requested Cost Contribution of the offered Trips, that you are profiting from the service, or for any other reason indicating to VIIA that you are generating profit on the Platform.

7. Cancellation policy

7.1. Terms of repayment in the case of cancellation

VIIA does not offer any guarantee, of any nature, in the case of a cancellation for any reason.

The cancellation of a Seat on a Carpooling Trip by the Driver or the Passenger after Booking Confirmation is subject to the stipulations hereunder:

In the case of cancellation owing to the Driver, the Passenger is refunded the whole of the sum paid (i.e. the Cost Contribution and the related Service Fees). This is notably the case when Driver cancels a Carpooling Trip or has not arrived at the meeting point 15 minutes after the agreed time;

In the case of cancellation owing to the Passenger:

  • If the Passenger cancels more than 24 hours before the planned departure time as mentioned in the Carpooling Listing, the Passenger shall only be refunded the Cost Contribution. The Service Fees are retained by VIIA and the Driver does not receive any sum of any nature;

  • If the Passenger cancels 24 hours or less before the planned departure time as mentioned in the Carpooling Listing, the Passenger shall be refunded half the Cost Contribution paid at the time of Booking, the Service Fees are retained by VIIA, and the Driver will receive 50% of the Cost Contribution via the Axcess Merchant Services Payment Solution; The Passenger will also get a flag on their profile and monitored for repeated misconduct. Repeated cancellations may result in their profile being removed. Their profile can also be removed without the need for repeated offences if VIIA deems their conduct to have been inadequate or their reasoning for cancellation to be insufficient.

  • If the Driver cancels 24 hours or less before the planned departure time, as mentioned in the Carpooling Listing, the Passenger is refunded the whole of the Cost Contribution via the Axcess Merchant Services Payment Solution. The Service Fees are retained by VIIA and the Driver does not receive any sum of any nature; The driver will also get a flag on their profile and monitored for repeated misconduct. Repeated cancellations may result in their profile being removed. Their profile can also be removed without the need for repeated offences if VIIA deems their conduct to have been inadequate or their reasoning for cancellation to be insufficient.

  • If the Passenger cancels after the planned departure time as mentioned in the Carpooling Listing, or if he has not arrived at the meeting place 15 minutes after the agreed time, no refund shall be issued. The Driver shall be compensated with the whole of the Cost Contribution via the Axcess Merchant Services Payment Solution and the Service Fees are kept by VIIA. The Passenger will then be promptly investigated, flagged, and potentially removed from the application at the sole discretion of VIIA.

  • Should a Driver cancel after the scheduled departure time specified in the Carpooling Listing or fail to fulfil their commitments by not showing up to the pickup point within 15 minutes, refunds will be issued to all passengers should they wish to do so. The Driver will then be promptly investigated, flagged, and potentially removed from the application at the sole discretion of VIIA.

  • If a Driver arrives at the meeting place later than 15 minutes after the agreed time, and the Passengers decided to wait for them rather than requesting a cancellation and refund, the journey will proceed as scheduled, but they will be flagged for their tardiness and may receive a negative review from their fellow travellers. VIIA will then monitor the Driver for repeated offenses, and appropriate action, (warnings or removal) may be taken if further incidents occur.

In the event of a cancellation initiated by a Passenger before departure, the cancelled Seat(s) will be promptly opened for booking by other Passengers online, subject to the terms outlined in these Terms and Conditions.

VIIA, at its sole discretion and based on the available information, will assess the validity of refund requests.

7.2. Right of withdrawal

You forfeit the right to withdraw once the Booking Confirmation is issued, provided that the Contract facilitating your connection with another Member through VIIA has been duly fulfilled.

8. Behaviour of users of the Platform and Members

8.1. Undertaking of all users of the Platform

You acknowledge your sole responsibility for complying with all laws, regulations, and obligations relevant to your utilization of the Platform.

Furthermore, when using the Platform and during Trips, you agree to:

I. Not utilize the Platform for professional, commercial, or profit-seeking endeavours.

II. Refrain from providing VIIA (especially during the creation or updating of your Account) or other Members with any false, misleading, malicious, or fraudulent information.

III. Refrain from engaging in any speech, behaviour, or content posting on the Platform that is defamatory, harmful, obscene, pornographic, vulgar, offensive, aggressive, unwarranted, violent, threatening, harassing, racist, xenophobic, or sexually explicit. Additionally, you agree not to incite violence, discrimination, or hatred, promote illegal activities or substance use, or contravene the Platform's objectives. Such actions may infringe upon the rights of VIIA or third parties and are against ethical standards.

IV. Not infringe the rights and image of VIIA, notably its intellectual property rights;

V. Not open more than one Account on the Platform and not to open an Account in the name of a third party;

VI. Not try to bypass the online booking system of the Platform, notably by trying to send another Member your contact details in order to make the booking outside of the Platform and avoid paying the Service Fees;

VII. Not contact another Member, notably via the Platform, for a purpose other than defining the terms of the ridesharing;

VIII. Not accept or make payment outside of the Platform or the Axcess Merchant Services Payment Solution;

IX. To comply with these T&Cs and the Privacy Policy.

8.2. Undertakings of the Drivers

Furthermore, when you use the Platform as Driver, you undertake:

I. To respect all laws, regulations and codes applicable to driving and the vehicle, and to be in possession of a valid driving licence that is NOT invalidated due to an excess of penalty points.

II. To ensure you have at least third party motor insurance coverage.

III. To abstain from taking any risks while driving and avoid consuming any substances that could impair your attention and ability to drive safely and attentively.

IV. To post Carpooling Listings corresponding only to Trips actually planned.

V. To commit to completing the Carpooling Trip as outlined in the advertised listing and honouring the agreed-upon times and locations with fellow Members, including meeting and drop-off points.

VI. To not offer to take more Passengers than the number of Seats your car possesses.

VII. To utilize a well-maintained vehicle that meets all relevant legal requirements and standards, including possessing a current MOT certificate.

VIII. To provide VIIA, if requested of you, your driver's license, vehicle registration certificate, insurance certificate, MOT certificate, and any other document verifying your eligibility to serve as a Driver on the Platform.

IX. To promptly notify your Passengers in the event of a delay or modification to the scheduled time or details of the Carpooling Trip.

X. To not arrive in a car that is different from the one that was offered in your listing.

XI. To wait for Passengers at the agreed meeting place for at least 15 minutes after the agreed time.

XII. To refrain from listing a Carpooling offer for a vehicle that you do not yourself own or that you cannot legally drive.

XIII. To ensure that you are reachable by your Passengers via the phone number provided in your profile.

XIV. To refrain from earning any profit through the Platform and only be compensated for actual travel costs.

XV. To not to have any medical incapacity for driving at the point of the trip.

XVI. To behave appropriately and responsibly during the Carpooling Trip, and in compliance with the spirit of carpooling.

XVII. To provide your identity document to any passenger upon their request, particularly if they have reasonable doubts regarding your age or identity matching the agreed individual for the journey.

8.3. Undertakings of the Passengers

8.3.1 For Carpooling Trip

When you use the Platform as Passenger of a Carpooling Trip, you undertake:

I. To maintain appropriate conduct throughout the Carpooling Trip, avoiding actions that may distract the Driver or disturb the peace and comfort of fellow Passengers.

II. To show respect for the Driver's vehicle by maintaining its cleanliness and condition.

III. To inform the Driver without delay in the case of lateness.

IV. To wait for the Driver at the meeting place for at least 15 minutes beyond the agreed time. Should the Passenger wish to cancel and refund the journey or wait longer beyond this point is to their discretion.

V. To provide documentation confirming your identity to VIIA or any Driver upon request, especially if there are reasonable concerns regarding your age or identity.

VI. To refrain from transporting any items, goods, substances, or animals during a Carpooling Trip that could impede the Driver's focus or concentration or violate legal regulations.

VII. in the event of a cross-border Carpooling Trip, to possess and make readily available any documentation verifying your identity and authorization to cross the border, upon request by the Driver or any relevant authority. You accept responsibility should you fail to present the relevant documents and can be abandoned by the driver if they so wish to do so.

VIII. To ensure your Driver can reach you via the phone number provided in your profile, even at the designated meeting point.

IX. To ensure adherence to and respect for the journey preferences of other individuals as outlined in their profiles, contributing to a positive carpooling experience for all involved.

X. To only use the “safety button” in real emergency or worrying situations and to respect and communicate to the best of your ability to our team who are doing their best to ensure all users on the platform are protected.

In the event where you have made a Booking for one or more Seats on behalf of third parties who are under the age of 18, in compliance with the stipulations of Article 4.2.3 above, you guarantee respect by this third party for the stipulations of this article, and generally these T&Cs. VIIA reserves the right to suspend your Account, limit your access to the Services, or terminate these T&Cs, in the case of breach by the third party on whose behalf you have booked a Seat under these T&Cs.

9. Suspension of accounts, limitation of access and termination

You can terminate your contractual relations with VIIA at any time, without cost and without reason. To do this, simply go to the “Delete account” tab of your Profile page.

In the event of (i) breach by you of these T&Cs, including but not limited to your obligations as Member mentioned in Articles 6 and 8 above, (ii) exceeding the limit set out in Article 4.3.3 above, or (iii) if VIIA has genuine reason to believe that this is necessary to protect its security and its integrity, that of the Members or third parties, or for the purpose of prevention of fraud or investigations, VIIA reserves the right to:

I. Terminate the T&Cs binding you with VIIA immediately and without notice; and/or

II. Prevent the posting of or removing any review, Advert, message, content, Booking request, or any content posted by you on the Platform; and/or

III. Limit your access and your use of the Platform; and/or

IV. Temporarily or permanently suspend your Account.

When this is necessary, you will be notified of the establishment of such measures in order to enable you to give explanations to VIIA. VIIA will decide, at its sole discretion, whether or not to lift the measures put in place.

In order to preserve security within our platform, VIIA will block account creation attempts by previously banned phone numbers, and new accounts created that VIIA believes to resemble a previously banned individuals.

10. Personal data

In the context of your use of the Platform, VIIA will collect and process some of your personal data. In using the Platform and registering as Member, you recognise and accept the processing of your personal data by VIIA in compliance with the applicable law and the stipulations of the Privacy Policy.

11. Intellectual property

11.1. Content published by VIIA

Subject to the contents provided by its Members, VIIA is the sole holder of all intellectual property rights relating to the Service, the Platform, its content (notably texts, images, designs, logos, videos, sounds, data, graphics) and to the software and databases ensuring their operation.

VIIA grants you a non-exclusive, personal and non-transferable right to use the Platform and the Services, for your personal and private use, on a non-commercial basis and in compliance with the purposes of the Platform and the Services.

You are prohibited from any other use or exploitation of the Platform and Services, and their content, without the prior written permission of VIIA. Notably, you are prohibited from:

I. Reproducing, modifying, adapting, distributing, publicly representing and disseminating the Platform, the Services and the content, with the exception of that expressly authorised by VIIA;

II. Decompiling and reverse engineering the Platform or Services, subject to the exceptions stipulated by the texts in force;

III. Extracting or attempting to extract (notably using data mining robots or any other similar data collection tool) a substantial part of the data of the Platform.

11.2. Content posted by you on the Platform

In order to enable the provision of the Services, and in compliance with the purpose of the Platform, you grant VIIA a non-exclusive licence to use the content and data you provide in the context of your use of the Services (hereinafter referred to as your “Member Content”). In order to enable VIIA to distribute via the digital network and in accordance with any communication protocol (notably internet and mobile network), and to provide the content of the Platform to the public, you authorise VIIA, for the whole world and throughout the duration of your contractual relations with VIIA, to reproduce, represent, adapt and translate your Member Content.

You authorise VIIA to reproduce all or part of your Member Content on any digital recording media, known or as yet unknown, and notably on any server, hard disk, memory card, or any other equivalent media, in any format and by any process, known or as yet unknown, to the extent necessary to any operation of storage, backup, transmission or download linked to the operation of the Platform and the provision of the Service;

12. Role of VIIA

The Platform constitutes an online mobility platform on which the Members can create and post Carpooling Listings for Carpooling Trips for the purposes of ridesharing. These Carpooling Listings can notably be viewed by the other Members to find out the terms of the Trip, and where applicable, to directly book a Seat in the vehicle in question with the Member having posted the Advert on the Platform. The Platform also allows the Booking of Seats for Bus Trips.

In using the Platform and in accepting these T&Cs, you recognise that VIIA is not party to (i) any agreement entered into between you and the other Members with a view to sharing the costs relating to a Trip (ii)

VIIA has no control over the behaviour of its Members, only reacting to misconduct when it occurs. VIIA does not control, own, exploit, supply or manage the vehicles subject of the Adverts.s

You recognise and accept that VIIA does not control the validity, truthfulness or legality of the Adverts, Seats and Trips offered. In its capacity of ridesharing intermediary, VIIA does not provide any transport service and does not act in the capacity of carrier; the role of VIIA is limited to facilitating access to the Platform.

In the context of Carpooling Trips, the Members (Drivers or Passengers) act under their sole and full responsibility.

In its capacity of intermediary, VIIA cannot be held liable for the effective occurrence of a Trip and notably owing to:

I. Erroneous information communicated by the Driver in his Advert, or by any other means with regard to the Trip and its terms,

II. Cancellation or modification of a Trip by a Member

III. The behaviour of its Members during, before or after the Trip.

13. Operation, availability and functionalities of the Platform

VIIA shall try as far as possible to maintain the Platform accessible 7 days a week and 24 hours a day. Nevertheless, access to the Platform may be temporarily suspended, without notice, owing to technical maintenance, migration or update operations, or owing to outages or constraints linked to the operation of the network.

Furthermore, VIIA reserves the right to modify or suspend all or part of access to the Platform or its functionalities, at its sole discretion, temporarily or permanently.

14. Modification of the T&Cs

These T&Cs and the documents integrated by reference express the entire agreement between you and VIIA relative to your use of the Services. Any other document, notably any mention on the Platform (FAQ, etc.), is for guideline purposes only.

VIIA may modify these T&Cs in order to adapt to its technological and commercial environment, and to comply with the legislation in force. Any modification to these T&Cs will be published on the Platform with mention of the date of effect, and you will be notified by VIIA before it takes effect.
